Ortelius International AB (publ) resolves to prepare a control balance sheet

The Board of Directors of Ortelius International AB (publ) ("Ortelius" or the "Company") has resolved to prepare a control balance sheet (Sw. kontrollbalansräkning) as of 30 September 2026.
This is an unofficial translation of the Swedish notice convening the Extraordinary General Meeting. In the event of any discrepancy between the Swedish original and this English translation, the Swedish version shall prevail.
The decision follows work on the interim report for the third quarter of 2026, which showed that there is reason to assume that the equity of Ortelius International AB is less than one-half of its registered share capital. The assessment is based, among other factors, on the negative development in the value of shares in subsidiaries and a strained financial situation in both Ortelius International AB and several of its subsidiaries.
The control balance sheet will be reviewed by the Company's auditor, PwC. Once the review has been completed, the Company will announce the outcome.
If the control balance sheet shows that the Company's equity is less than one-half of the registered share capital, the Board will, in accordance with the Swedish Companies Act, convene an extraordinary general meeting (first control meeting, Sw. första kontrollstämma) as soon as possible.
In parallel with the formal process, the Board and management are working on measures to strengthen the Company's equity and financial position. As previously communicated, including in the interim report for the second quarter of 2026, the Company is dependent on additional external financing. The Board is evaluating several alternatives.
