APR Technologies ingår långsiktigt teknologi- och licensavtal med Zoppas Industries
APR Technologies AB har ingått ett Technology Collaboration and License Framework Agreement med IRCA S.p.A. – Zoppas Industries Heating Element Technologies (ZIHET) avseende industrialisering och kommersialisering av produkter baserade på APR:s Rheion®-teknologi. Avtalet omfattar i ett första skede flyg- och rymdapplikationer i Europa och Nordamerika och är nästa steg efter det utvärderingsarbete som pågått sedan maj.
Flyg- och rymdsektorn ställer höga krav på termisk reglering, bland annat till följd av ökande effekttäthet, begränsat utrymme och vikt samt höga krav på tillförlitlighet. Genom avtalet kombineras APR:s specialistkompetens inom aktiv vätskestyrning och kylning med Zoppas Industries erfarenhet av värmehantering, industrialisering, produktion och internationella kundrelationer. Tillsammans avser parterna att utveckla integrerade lösningar för rymdfarkoster, satelliter, nyttolaster och avancerad elektronik.
Samarbetet ger APR en kapital- och resurseffektiv väg till industrialisering och kommersialisering i en sektor som präglas av långa utvecklings- och kvalificeringsprocesser. Zoppas Industries industriella kapacitet och etablerade marknadsnärvaro minskar behovet för APR att själv bygga upp motsvarande förmåga. Bolaget kan därmed fokusera sina resurser på befintliga kund- och utvecklingsprojekt inom sina övriga prioriterade områden.
Ekonomiska villkor och avtalsstruktur
Enligt avtalet omfattar APR Technologies ersättning en milstolpebaserad initial ersättning om totalt 500 000 EUR för licens, teknologiöverföring och kvalificeringsstöd. Därtill kommer APR att erhålla royalty på Zoppas Industries Net Sales av produkter där Rheion®-teknologin ingår, samt löpande intäkter från framtida leveranser av komponenter och vätskor till Zoppas Industries.
APR behåller fullt ägandeskap av sin kärnteknologi och de immateriella rättigheter som omfattar Rheion®-teknologin. Avtalet ger Zoppas Industries en exklusiv licens inom specificerade territorier och segment, där fortsatt exklusivitet är kopplad till att avtalade kommersiella prestationsmål uppnås.
Avtalet innebär inte några garanterade framtida order eller försäljningsvolymer. Framtida intäkter från produktleveranser och royalty är beroende av bland annat fortsatt utveckling, kundbeslut, framtida priser och volymer samt faktisk försäljning, och kan därför inte kvantifieras i nuläget. Bolaget lämnar inga ekonomiska prognoser.

APR Technologies AB has entered into a Technology Collaboration and License Framework Agreement with IRCA S.p.A. — Zoppas Industries Heating Element Technologies (ZIHET) regarding the industrialization and commercialization of products based on APR's Rheion® technology. In its initial phase, the agreement covers aerospace applications in Europe and North America, and is the next step following the evaluation work that has been ongoing since May.
The aerospace sector places high demands on thermal management, driven in part by increasing power density, limited space and weight, and stringent reliability requirements. Through the agreement, APR's specialist expertise in active fluid control and cooling is combined with Zoppas Industries' experience in heat management, industrialization, production and international customer relationships. Together, the parties intend to develop integrated solutions for spacecraft, satellites, payloads and advanced electronics.
The collaboration gives APR a capital- and resource-efficient path to industrialization and commercialization in a sector characterized by long development and qualification processes. Zoppas Industries' industrial capacity and established market presence reduce the need for APR to build up equivalent capability on its own, allowing the company to focus its resources on existing customer and development projects within its other priority areas.
Financial Terms and Agreement Structure
Under the agreement, APR Technologies' compensation includes a milestone-based initial payment totaling EUR 500,000 covering the license, technology transfer, and qualification support. Additionally, APR will receive royalties on Zoppas Industries' Net Sales of products incorporating the Rheion® technology, as well as ongoing revenue from future deliveries of components and fluids to Zoppas Industries.
APR retains full ownership of its core technology and the intellectual property rights covering the Rheion® technology. The agreement grants Zoppas Industries an exclusive license within specified territories and segments, with continued exclusivity linked to the achievement of agreed commercial performance targets.
The agreement does not entail any guaranteed future orders or sales volumes. Future revenue from product deliveries and royalties depends on, among other things, continued development, customer decisions, future prices and volumes, and actual sales, and cannot therefore be quantified at this time. The Company provides no financial forecasts.
