FiscalNote Closes Previously Announced Divestiture of TimeBase for $6.5 Million in Total Consideration

FiscalNote Holdings, Inc. (NYSE: NOTE), the leading provider of AI-driven policy and regulatory intelligence solutions, today announced it has closed the divestiture of its Australian subsidiary, TimeBase, to Thomson Reuters Corporation (TSX/Nasdaq: TRI), a global content and technology company, for total consideration of $6.5 million USD.
This transaction further strengthens the Company’s balance sheet and contributes to the Company’s path to future positive free cash flow. Positive indicators continue to reinforce the Company’s outlook for accelerating performance in the second half of the year, driven by strong customer engagement with the new PolicyNote platform amid ongoing AI feature releases and enhancements. The Company will continue to serve customers in the Australia market through the PolicyNote platform and related solutions — especially as the Company builds towards further global expansion enabled by product-led growth and potentially facilitated by future stablecoin integration.
