Nexum Group AG Will Publish Outstanding Financial Reporting Documents and Takes Steps to Preserve Its Stock Exchange Listing

Munich, September 3, 2026 – By decision dated 1 September 2026, the Frankfurt Stock Exchange (FWB) revoked the admission of the shares of Nexum Group AG (ISIN DE000A41YEG8) to trading on the Regulated Market (General Standard), effective at the end of October 5, 2026. The decision is based on financial reporting obligations for the years 2023 to 2025 that have not been fully met.

The reporting periods concerned fall within the insolvency and restructuring phase of the predecessor company, creditshelf AG, and therefore predate the acquisition of a majority interest by First Capital AG, which was completed in June 2026. Irrespective of this, the current Management Board takes the FWB’s objections very seriously and has initiated the comprehensive review and completion of the outstanding financial reporting.

In the coming days, Nexum Group AG will publish preliminary, unaudited financial reporting documents for the financial years 2023, 2024 and 2025, as well as the half-year financial reports for 2024 and 2025, on its corporate website at: https://www.nexum-group.de/de/financial-reports. The audits of the annual financial statements by the auditor are currently ongoing. Based on the current schedule, the audited annual financial statements are expected to be available by September 20, 2026 and will be published without undue delay. In parallel, the Company is ensuring full compliance with all other publication and filing obligations.

The Company intends to file an objection against the decision within the applicable deadline and is in direct communication with the FWB in this regard. Its objective is to close the existing transparency gap in full and create the conditions necessary for the continued admission of its shares to the Regulated Market. As part of the strategic realignment under the Nexum Group AG name, responsibilities for financial reporting, governance and capital markets communication have been reorganised. The Company is establishing robust processes to ensure that all ongoing capital markets obligations are met fully and on time in the future. The half-year financial report for 2026 was published on August 31, 2026.
