RICHMOND, Va. , Oct. 26, 2026 /PRNewswire/ -- Blue Ridge Bankshares, Inc. (the "Company") (NYSE American: BRBS), the holding company of Blue Ridge Bank, National Association ("Blue Ridge Bank" or the "Bank") and BRB Financial Group, Inc., today announced financial results for the quarter ended September 30, 2026.

BRBS

For the quarter ended September 30, 2026, the Company reported a net loss of $4.2 million, or ($0.05) per diluted common share, compared to a net loss of $1.3 million, or ($0.01) per diluted common share, for the quarter ended June 30, 2026, and net income of $5.6 million, or $0.06 per diluted common share, for the quarter ended September 30, 2025. Net loss for the third and second quarters of 2026 included an after-tax provision for credit losses of $6.6 million and $3.2 million, respectively, while the quarter ended September 30, 2025 included an after-tax recovery of credit losses of $1.4 million. Provision for credit losses in the 2026 periods was primarily due to loans associated with a single out-of-market relationship originated prior to 2024. Net loss for the third quarter of 2026 also included after-tax merger-related expenses of $0.9 million.

Excluding merger-related and severance expenses, pre-tax, pre-provision income ("Adjusted Pre-tax Earnings") for the third quarter of 2026 improved to $5.3 million 1  compared to $2.9 million 1  for the second quarter of 2026.

On August 17, 2026, the Company and HomeTrust Bancshares, Inc. ("HomeTrust") jointly announced that the companies had entered into a definitive merger agreement, whereby the Company and the Bank would merge with and into HomeTrust and HomeTrust Bank, respectively (the "HomeTrust Merger"). Pending required approvals, including approvals by the shareholders of both companies, the HomeTrust Merger is anticipated to close in the first quarter of 2027. Merger-related expenses for the third quarter of 2026 were $1.2 million ($0.9 million after-tax).

For the nine months ended September 30, 2026, the Company reported a net loss of $4.6 million, or ($0.05) per diluted common share, compared to net income of $6.5 million, or $0.07 per diluted common share, for the same period of 2025. Net loss for the nine months ended September 30, 2026 included an after-tax provision for (recovery of) credit losses, severance expenses, and merger-related expenses of $9.3 million, $1.7 million, and $0.9 million, respectively, compared to ($2.0) million, $0.9 million, and $0, respectively, for the same period of 2025. Adjusted Pre-tax Earnings for the nine months ended September 30, 2026 and September 30, 2025 were $10.3 million 1  and $7.0 million 1 , respectively.

''With the regulatory consent order lifted in late 2025, our focus this year turned to soundness, profitability, and growth in our core community bank markets. Our third quarter results reflect continued quarterly improvements in loan growth, loan yields, deposit mix, and noninterest expense discipline. In addition, we further de-risked the balance sheet with a substantial charge-off on a legacy out-of-footprint relationship operating in the hydroponic farming business," commented Harry Golliday, interim president and chief executive officer.

Q3 2026 Highlights
(Comparisons for Third Quarter 2026 are relative to Second Quarter 2026 unless otherwise noted.)

  • For the quarter, pre-tax provision for credit losses, merger-related expenses, and severance expenses were $8.5 million, $1.2 million, and $0, respectively, compared to $4.1 million, $0, and $0.4 million, respectively, for the prior quarter.
  • Adjusted Pre-tax Earnings were $5.3 million 1  and $2.9 million 1  for the sequential quarters, an improvement of approximately 85%.

Net Interest Income / Net Interest Margin ("NIM"):

  • Net interest income totaled $17.4 million and $16.5 million for the third and second quarters, respectively, an increase of $0.9 million. Interest income increased by $0.5 million in the quarter, primarily due to higher yields on and higher average balances of loans held for investment. Average balances of loans held for investment increased $44.8 million in the current quarter. Interest expense declined by $0.3 million from the prior quarter, primarily due to the reduction of higher cost time deposits, including brokered deposits.
  • Yields on loans held for investment were 5.64% and 5.54% for the third and second quarters, respectively, of which accretion of discounts on acquired loans contributed a positive 6 and 3 basis points, respectively.
  • Cost of deposits declined 3 basis points to 2.22% for the quarter from 2.25% for the prior quarter, while cost of funds declined 6 basis points to 2.35% from 2.41%. The third quarter recognition of an unamortized purchase accounting adjustment upon the early redemption of the Company's subordinated notes maturing October 15, 2029 (the "2029 Notes") decreased cost of funds by 4 basis points.
  • Net interest margin for the quarter was 3.08%, an improvement of 17 basis points from the prior quarter.

Capital:

  • The ratio of tangible common equity to tangible total assets was 11.4% 1 at the third quarter end compared to 11.8% 1  at the prior quarter end, while tangible book value per common share was $3.00 1  and $3.09 1 at the same respective dates.
  • At September 30, 2026, the Bank's tier 1 leverage ratio, tier 1 risk-based capital ratio, common equity tier 1 capital ratio, and total risk-based capital ratio were 11.25%, 14.76%, 14.76%, and 15.96%, respectively, compared to 11.23%, 15.10%, 15.10%, and 16.36% respectively, at the prior quarter end.

Noninterest Income / Noninterest Expense:

  • Noninterest income for the quarter was $2.6 million compared to $1.8 million for the prior quarter. Prior quarter other noninterest income included a $0.6 million loss recognized upon the liquidation of an equity method investment.
  • Noninterest expense was $15.9 million for both the third and second quarters. Compared to the second quarter, lower salaries and benefits expense of $1.1 million in the third quarter were offset by merger-related expenses of $1.2 million in the third quarter.
  • Headcount as of September 30, 2026 was 255 compared to 269 as of June 30, 2026.

Income Tax:

  • Income tax benefit for the third and second quarters was $0.2 million and $0.3 million, respectively, with effective income tax rates for the same respective periods of 3.7% and 20.5%. The decline in the effective income tax rate for the third quarter was primarily attributable to limitations on the tax deductibility of compensation and certain merger-related expenses.

Balance Sheet:

  • Total assets increased to $2.34 billion at quarter end from $2.33 billion at the prior quarter end, an increase of $15.8 million. Asset growth was driven primarily by a $33.1 million increase in loans held for investment, partially offset by a $18.4 million decrease in securities available for sale.
  • Total deposits, when excluding brokered deposits, decreased $19.2 million in the third quarter. Deposit declines, excluding brokered deposits, were primarily time deposits, which declined $29.9 million, while money market accounts increased $20.3 million. Brokered deposits of $28.9 million were paid off upon maturity in the quarter. The ratio of noninterest-bearing demand deposits to total deposits was 21.4% and 21.3% as of September 30, 2026 and June 30, 2026, respectively.
  • On July 15, 2026, the Company redeemed the remainder of its 2029 Notes totaling $14.7 million, and upon the completion of the redemption, the Company had no outstanding subordinated notes. Borrowings from the Federal Home Loan Bank of Atlanta increased $86.0 million in the quarter to $236.0 million as of September 30, 2026.
  • Total stockholders' equity declined $7.8 million in the quarter to $267.6 million at quarter end. The after-tax change in the market value of the Company's available-for-sale securities portfolio, driven by increased market interest rates, contributed $3.8 million of this decline.

Asset Quality:

  • Nonperforming loans, which include nonaccrual loans and loans past due 90 days or more and accruing interest, were $24.9 million, or 1.07% of total assets, at September 30, 2026, compared to $31.2 million, or 1.34% of total assets, at June 30, 2026. The decrease in nonperforming loans includes a $9.9 million charge-off in the quarter of the previously-mentioned out-of-market loans to a single borrower. The loans were originated prior to 2024 by the Company's former government guaranteed lending team. The Company believes the credit issues affecting this borrower are unique and not systemic to the Company's overall loan portfolio. Following the third quarter charge-off, the remaining outstanding loan balances associated with this borrower totaled approximately $1.5 million as of September 30, 2026. Nonperforming assets, which include other real estate owned, were $26.7 million, or 1.14% of total assets, at September 30, 2026, compared to $32.8 million, or 1.41% of total assets, at June 30, 2026.
  • Provision for credit losses on loans of $8.0 million and $3.5 million for the third and second quarters, respectively, reflects provision needs associated with the previously-mentioned out-of-market loans. Provision for credit losses on unfunded commitments of $0.5 million and $0.6 million for the current and prior quarters, respectively, was due to an increase in committed but unfunded loans to commercial construction borrowers.
  • Allowance for credit losses as a percentage of total loans held for investment was 1.05% at September 30, 2026, compared to 1.19% at June 30, 2026. Net loan charge-offs were $10.3 million in the third quarter of 2026, of which $9.9 million was attributable to the previously-mentioned out-of-market loans. The ratio of net loan charge-offs to average loans outstanding (quarter-to-date annualized) was 2.20% and 0.14% for the third and second quarters, respectively.

Income Statement:

Net interest income was $17.4 million for the third quarter of 2026, compared to $16.5 million and $21.9 million for the second quarter of 2026 and the third quarter of 2025, respectively. Relative to the prior quarter, the increase reflected higher yields on and average balances of loans held for investment in combination with lower interest expense on deposits and subordinated notes, while relative to the year-ago period, the decrease reflected lower average balances of loans held for investment and loans held for sale.

Average balances of interest-earning assets were $2.26 billion for the third quarter of 2026, a decrease of $21.0 million from the prior quarter, and $177.6 million from the third quarter of 2025. Average balances of loans held for investment were $1.88 billion for the third quarter of 2026, an increase of $44.8 million from the prior quarter and a decrease of $55.8 million from the third quarter of 2025. Yields on loans held for investment were 5.64% for the third quarter of 2026, compared to 5.54% and 6.40% for the second quarter of 2026 and third quarter of 2025, respectively. Loan yields in the third quarter of 2025 benefited by 62 basis points from $3.0 million of fee income recognized upon the payoff of an out-of-market loan. Accretion of discounts on acquired loans had a 6, 3, and 7 basis point positive effect on loans held for investment yields in the third quarter of 2026, second quarter of 2026, and third quarter of 2025, respectively.

Average balances of interest-bearing liabilities were $1.65 billion for both the third and second quarters of 2026, and $1.74 billion for the third quarter of 2025, a decline of $91.3 million from the 2025 period. The decline in average balances of interest-bearing liabilities relative to the third quarter of 2025 was primarily due to reductions of interest-bearing deposits ($121.4 million) and borrowings ($13.3 million of subordinated notes), partially offset by an increase in average balances of FHLB borrowings ($43.4 million). Interest expense declined by $0.3 million to $12.0 million in the third quarter of 2026 from the second quarter of 2026 and by $2.3 million from the third quarter of 2025, primarily driven by lower average balances of higher cost brokered deposits and subordinated notes.

Cost of funds was 2.35% for the third quarter of 2026, compared to 2.41% for the second quarter of 2026, and 2.65% for the third quarter of 2025, while cost of deposits was 2.22%, 2.25%, and 2.51%, for the same respective periods. These declines reflect lower average balances of higher-cost brokered deposits. Cost of deposits, excluding brokered deposits, was 1.98% and 1.97% for the third and second quarters, respectively, compared to 2.13% for the year-ago quarter period.

NIM was 3.08% for the third quarter of 2026, compared to 2.91% in the prior quarter, and 3.60% for the third quarter of 2025. Improvement in NIM in the third quarter of 2026 relative to the second quarter of 2026 was primarily a result of an increase in yields on loans held for investment and lower cost of funds.

Provision for (recovery of) credit losses on loans of $8.0 million, $3.5 million, and ($1.8 million) was reported in the third quarter of 2026, second quarter of 2026, and third quarter of 2025, respectively. Provision for credit losses on loans in both the third and second quarters of 2026 was primarily driven by provision needs for the previously-mentioned out-of-market loans. Provision for credit losses for unfunded commitments of $0.5 million, $0.6 million, and $0 was reported in the third quarter of 2026, second quarter of 2026, and third quarter of 2025, respectively. Provision for credit losses for unfunded commitments in the third and second quarters of 2026 reflected an increase in committed but unfunded loans to commercial construction borrowers.

Noninterest income was $2.6 million for the third quarter of 2026, compared to $1.8 million for the second quarter of 2026, and $3.8 million for the third quarter of 2025. Noninterest income for the second quarter of 2026 included a $0.6 million loss recognized upon the liquidation of an equity method investment, while noninterest income in the third quarter of 2025 included $0.7 million related to the 2024 sale of mortgage servicing rights.

Noninterest expense was $15.9 million for both the third and second quarters of 2026, and $20.0 million for the third quarter of 2025. Noninterest expense declines from the second quarter of 2026 associated with salaries and employee benefits were offset by merger-related expenses. The $4.2 million decrease from the year-ago period was primarily driven by a decline in salaries and employee benefits ($3.5 million) and legal and regulatory filings ($0.8 million), partially offset by $1.2 million of merger-related expenses in the third quarter of 2026. The number of employees decreased from 311 at September 30, 2025 to 255 at September 30, 2026.

Balance Sheet:

Loans held for investment were $1.89 billion at September 30, 2026, compared to $1.85 billion at June 30, 2026, and $1.91 billion at September 30, 2025. The $33.1 million increase compared to the prior quarter was primarily driven by growth in residential mortgages arising from the Company's agreement with a third-party residential mortgage originator, whereby the Company purchases adjustable-rate mortgage loans originated generally within its market area. This program provides a primary mortgage product to the Company's consumer customers. Loans held for investment declined $26.1 million from the third quarter of 2025. Loans held for sale at both September 30, 2026 and June 30, 2026 were $0, compared to $12.8 million as of September 30, 2025, reflecting the exit of indirect fintech lending.

Total deposits were $1.81 billion at September 30, 2026, a decrease of $48.2 million and $136.9 million from June 30, 2026 and September 30, 2025, respectively. Brokered deposit balances were $156.9 million, $185.8 million, and $267.9 million at the end of the third quarter of 2026, second quarter of 2026, and third quarter of 2025, respectively. Brokered deposits as a percentage of total deposits declined to 8.6% at September 30, 2026, from 10.0% at June 30, 2026, and 13.7% at September 30, 2025. Excluding brokered deposits, total deposits decreased $19.2 million from June 30, 2026 and $25.9 million from September 30, 2025. Time deposit, excluding brokered, declines in the quarter of $29.9 million were partially offset by an increase of $19.2 million in interest-bearing and money market accounts.

Noninterest-bearing deposits represented 21.4%, 21.3%, and 21.1% of total deposits at September 30, 2026, June 30, 2026, and September 30, 2025, respectively. Excluding brokered deposits, noninterest-bearing deposits represented 23.4%, 23.6%, and 24.4% of total deposits as of the same respective dates.

Subordinated notes were $0 at September 30, 2026 compared to $14.7 million at both June 30, 2026 and September 30, 2025, reflective of the redemption of the remaining 2029 Notes in the third quarter of 2026. Upon the completion of this redemption, the Company had no outstanding subordinated notes. FHLB borrowings increased $86.0 million from balances at both June 30, 2026 and September 30, 2025.
