As previously stated, including in connection with the Capital’s Market Update on 28 May 2025, Orkla has been evaluating various structural options for Orkla India Limited (“Orkla India”) to unlock value, including accessing the Indian capital markets.

As a part of this process, Orkla India filed a draft red herring prospectus dated 10 June, 2025 (the “DRHP”) with the Indian capital markets regulator, the Securities and Exchange Board of India (“SEBI”); and BSE Limited and the National Stock Exchange of India Limited (together, the “Indian Stock Exchanges”) in connection with the proposed initial public offering of equity shares of face value INR 1 each (the “Equity Shares”, and the initial public offering by Orkla India as the “Offer”).

The Offer, as described in the DRHP, would comprise an offer for sale of up to 22,843,004 Equity Shares (“Offered Shares”), proposed to be undertaken by Orkla Asia Pacific Pte. Ltd., an indirect wholly owned subsidiary of Orkla ASA, and other eligible shareholders of Orkla India. Orkla Asia Pacific Pte. Ltd. intends to offer up to 20,560,768 Equity Shares, representing approximately 90% of the total number of Offered Shares. The Offered Shares constitute approximately 16.68% of the total number of the issued, subscribed and paid-up share capital of Orkla India.

The Offer is subject to receipt of necessary approvals, including from SEBI, the Indian Stock Exchanges, and the registrar of companies. Following the receipt of requisite approvals, the Offer will be launched within the timelines permitted by law, subject to market conditions and other considerations.
