REC Silicon - Conclusion of independent statement related to the mandatory offer by Anchor AS for the shares in REC Silicon ASA

Reference is made to the announcement on 23 May 2025 regarding the launch of the voluntary offer by Anchor AS (the "Offeror") to acquire all issued and outstanding shares in REC Silicon ASA ("REC") not already owned by the Offeror (the "Offer").
Pursuant to section 6-16 of the Norwegian Securities Trading Act, the Board of Directors of REC shall provide a statement on the Offer. Finanstilsynet, in its capacity as take-over supervisory authority, has decided that the statement shall be issued by an independent expert and not by the Board of Directors of REC and that such statement can be issued by Pareto Securities AS (“Pareto”) on behalf of the Company, cf. section 6 16 of the Securities Trading Act.
Pareto has issued their statement on the Offer and has in the statement concluded as follows: “Pareto is, based on the evaluation described above, of the opinion that the Transaction Valuation does reflect the current underlying value in the Company and thereof a fair valuation of the Company.”
