Nasdaq Helsinki Ltd's Disciplinary Committee has imposed a warning and a disciplinary fine of EUR 200,000 to Summa Defence Plc
Summa Defence Plc Company announcement 2 September 2026 at 1:15 p.m. EEST
Nasdaq Helsinki Ltd's Disciplinary Committee has issued a decision and imposed a warning and a disciplinary fine of EUR 200,000 to Summa Defence Plc ("Summa Defence" or the "company") for violation of the Nasdaq First North Growth Market Rules for Issuers of Shares. In the company's current assessment, the fine does not have a material impact on the company's financial position.
The Disciplinary Committee determined that the company had failed, among others, to disclose changes in the information regarding its working capital and financial result, to comply with disclosure timeliness requirements and with obligations concerning insider lists. In addition, the Disciplinary Committee found deficiencies in the organisation of administration, particularly with respect to financial information. The Disciplinary Committee dismissed three other rule violations asserted by Nasdaq Helsinki's market surveillance. More details are available in a press release related to the decision published by Nasdaq Helsinki Ltd today.
Summa Defence takes the decision seriously and has since the spring of 2026 taken actions to ensure that Summa Defence complies with all laws, rules and regulations binding on it.
"We take compliance with laws, regulations and stock exchange rules very seriously and strive to follow all such applicable rules in our operations. We have already since the spring of 2026 taken actions to ensure that the errors that are the subject of the decision are not repeated. The new Board of Directors has set a clear improvement roadmap for the path ahead, beginning with stabilisation, where strengthening our financial position and governance are the key priorities. We continue focusing on developing our business, stabilising the Group, improving profitability and growing our defence and security business," comments Robert Blumberg, CEO of Summa Defence.
