The exercise period for warrants of series TO9 B (the "Warrants" or "TO9 B") issued in connection with Terranet AB's ("Terranet" or the "Company") directed issues and rights issue of units announced on 16 April 2025 commences today, 1 December 2025 and continues until and including 15 December 2025. Each Warrant entitles the holder to subscribe for one (1) new Class B share in Terranet at a subscription price of SEK 0.18 per share. Upon full exercise of all warrants of series TO9 B within the framework of the units offered, the Company may receive a maximum of approximately SEK 15,1 million before issue costs. In order for the Warrants not to expire worthless, the holder must actively exercise their Warrants to subscribe for new shares in the Company no later than 15 December 2025 or alternatively sell their Warrants no later than 10 December 2025.

Advise against exercise of Warrants
Since the subscription price for the Warrants is higher than Terranet's current share price at Nasdaq First North Premier Growth Market, the Company advises holders of TO9 B not to exercise their Warrants to subscribe for new shares in the Company.

Overview of terms and conditions for the Warrants and important dates
Each Warrant entitles the holder to subscribe for one new Class B share in Terranet at a subscription price of SEK 0.18 per Class B share. Upon full exercise of the Warrants, the Company will receive approximately SEK 15,1 million before issue costs. The exercise period starts today, 1 December 2025, and runs until and including 15 December 2025. Please note that an earlier deadline for exercise may apply to holders who hold Warrants with a nominee. The last day of trading in the Warrants is December 10, 2025.

Please note that Warrants that are not exercised for subscription of shares by 15 December 2025 or sold by 10 December 2025 will expire without value.

Shares and share capital
Upon full exercise of all Warrants the number of Class B shares in Terranet will increase (calculated after the completion of the Company's ongoing rights issue) by a maximum of 83,729,677 Class B shares, from 2,237,903,142 Class B shares to a maximum of 2,321,632,819 Class B shares, and the share capital will increase by a maximum of SEK 837,296.770, from 22 379 031,400 SEK to a maximum of 23 216 328,20 SEK. Full exercise of all TO9 B will result in a dilution effect of a maximum of 3.6 percent.

Exercise of Warrants
Nominee-registered Warrants (custody):
Subscription and payment through exercise of the Warrants shall be made in accordance with instructions from the respective nominee. Please contact your trustee for further information.

Directly registered Warrants (VP account):
No issue report or payment instructions will be sent out. Subscription shall be made by simultaneous cash payment in accordance with the instructions on the application form. The Warrants will then be replaced with interim shares pending registration with the Swedish Companies Registration Office.

Trading in Warrants
Those holders who do not wish to exercise their Warrants have the opportunity to sell them on Nasdaq First North Premier Growth Market. The Warrants will be traded up to and including December 10, 2025 under the ticker TERRNT TO9 B and with ISIN SE0024990139.
