Xplora Technologies AS: Grant of share options to primary insiders

Oslo, 8 September 2026 - Based on Xplora Technologies AS’ (“Xplora” or the “Company”) annual compensation program for the Executive Leadership Group, the Board of Directors of the Company has resolved to grant a total of 880,000 share options to primary insiders, allocated as follows:
110,000 share options have been granted to CEO and primary insider Sten Kirkbak. Following the grant, Kirkbak holds a total of 660,000 share options and 1,118,706 shares in the Company through Kirkbak Holding AS, and 1,363,594 shares in the Company through MK Capital AS, a company 50% owned by Kirkbak Holding AS.
110,000 share options have been granted to CTO and primary insider Sangyo Kim. Following the grant, Kim holds a total of 556,000 share options and 0 shares in the Company.
110,000 share options have been granted to CFO and primary insider Knut Stålen. Following the grant, Stålen holds a total of 449,000 share options and 28,000 shares in the Company.
110,000 share options have been granted to CCO and primary insider Kjetil Fennefoss. Following the grant, Fennefoss holds a total of 251,666 share options and 36,891 shares in the Company.
110,000 share options have been granted to CLPO and primary insider Kristin Hellebust. Following the grant, Hellebust holds a total of 310,000 share options and 81,193 shares in the Company.
110,000 share options have been granted to COO and primary insider Jens Lenth. Following the grant, Lenth holds a total of 110,000 share options and 4,000 shares in the Company.
110,000 share options have been granted to Business Unit Director and primary insider Tomislav Krznari. Following the grant, Krznari holds a total of 110,000 share options and 4,000 shares in the Company.
110,000 share options have been granted to Business Unit Director and primary insider Gry Dyrnes. Following the grant, Dyrnes holds a total of 110,000 share options and 0 shares in the Company.
Each share option gives the right to purchase one share in the Company. The strike price of the options is NOK 27.62, equal to the volume-weighted average price (VWAP) over the last 10 trading days. The options will vest gradually over three years after grant, of which 1/3 of the granted share options will vest after 1 year, 1/3 of the granted share options will vest after 2 years, and the remaining 1/3 of the granted share options will vest after 3 years. All options will expire 5 years after the date of the grant.
After the above-mentioned grants, the total number of outstanding share options is 3,426,612. Under the resolution passed at the shareholder meeting, total outstanding share options shall not exceed 7.5% of the Company's total issued shares, corresponding to a maximum of 3,589,097 share options.
