The Board of Directors Zinzino AB (publ) has decided to issue 200,000 stock options with the mandate of the AGM of the Company in 2018-05-15. The right to subscribe for new stock options shall, with exception of shareholders’ preferential rights, only be added to Dr. Paul Clayton, Member of the Zinzino’s Scientific Advisory Board. The reason for the deviation from shareholders’ preferential rights is to create incentives for an important external partner that greatly contributes to the company’s positive development. Subscription of the stock options shall be subscribed by subscription on subscription list no later than 31 October 2018. The Board shall have the right to extend the subscription period. By acquisition of the stock options a premium based on the market value, which shall be determined by applying the Black & Scholes option valuation model, needs to be paid. Each stock options shall entitle the holder to subscribe for a (1) new B share in the company at a subscription price of SEK 12, as from the registration of the stock options by Bolagsverket in Sweden until 31 October 2023. If all subscription options are exercised for subscription of shares, the company’s registered share capital will increase by SEK 20,000.
