In the tender offer transaction, shareholders of Guaranty will receive 1.0000 share of Glacier stock for each Guaranty share (subject to adjustment under certain circumstances). Based on the closing price of $41.58 for Glacier shares on June 23, 2025 , the transaction would result in aggregate consideration of $476.2 million (inclusive of the value to Guaranty stock options) and value of $41.58 per Guaranty share.
Guaranty insiders will receive substantial benefits as part of change of control arrangements.
The transaction agreement unreasonably limits competing transactions for Guaranty by imposing a significant penalty if Guaranty accepts a competing bid. We are investigating the conduct of the Guaranty board of directors, and whether they are fulfilling their fiduciary duties to all shareholders.
