Brödernas initiates a written procedure under its outstanding bonds with ISIN NO0013250597

The restaurant group Brödernas has today initiated a written procedure to address the capital needs of the group.

Brödernas Group AB (publ) ("Brödernas") announces that it has today initiated a written procedure (the "Written Procedure") among the holders of its outstanding bond loan 2024/2027 with ISIN NO0013250597 (the "Bonds"), in accordance with the terms and conditions of the Bonds (the "Bond Terms"), to request the bondholders’ consent to certain waivers and amendments of the Bond Terms. Brödernas has instructed Nordic Trustee & Agency AB (publ) (the "Agent"), in its capacity as agent under the Bond Terms, to distribute a notice of Written Procedure, including voting instructions, to the bondholders of the Bonds.

Brödernas intends to enter into a short-term bridge loan in order to address the group’s capital needs until the reorganisation is completed which will be provided super senior priority in Brödernas’ ongoing corporate reorganisation (Sw. företagsrekonstruktion) (see press release published on 16 October 2024 for further information regarding the corporate reorganisation) and which will share, and rank senior, to the security and guarantees provided for the Bonds.

For further information regarding the Written Procedure and a detailed description of Brödernas’ request, please refer to the notice of Written Procedure available on Brödernas’ and the Agent’s respective websites. The record date for a bondholder being eligible to vote in the Written Procedure is 8 July 2025 and the last day for voting in the Written Procedure is 23 July 2025. However, the Written Procedure may be concluded prior to the expiry of the voting period if the required majority is obtained. Bondholders together representing a qualified majority of the adjusted nominal amount of the Bonds have agreed to vote in favour of the requests in the Written Procedure.
