Offer document regarding Sweco Sverige’s offer to the shareholders of Projektengagemang made public

The Offer (as defined below) is not being made, and this press release may not be distributed, directly or indirectly, in or into, nor will any tender of shares be accepted from or on behalf of holders in Australia, Belarus, Canada, Hong Kong, Japan, New Zealand, Russia, Singapore, South Africa or the United States or any other jurisdiction in which the Offer, the distribution of this press release or the acceptance of any tender of shares would contravene applicable laws or regulations or require further offer documents, filings or other measures in addition to those required under Swedish law. Sweco Sverige AB (“Sweco Sverige”), an indirect wholly owned subsidiary of Sweco AB (publ), today announced a recommended cash offer to the shareholders of Projektengagemang Sweden AB (publ) (“Projektengagemang” or the “Company”) to tender all their shares in Projektengagemang to Sweco Sverige for SEK 15 per share (the “Offer”).

The offer document relating to the Offer has today been approved and registered by the Swedish Financial Supervisory Authority (Sw. Finansinspektionen). The offer document is available on Sweco AB’s website (www.swecogroup.com) and on DNB Carnegie’s website for prospectuses and offering documents (www.carnegie.se). The offer document will also be available in Swedish on the Swedish Financial Supervisory Authority’s website (www.fi.se). A pre-printed acceptance form and a pre-paid envelope will be sent to shareholders in Projektengagemang whose shares were directly registered with Euroclear Sweden AB on 4 June 2025, subject to applicable offer restrictions. The acceptance period for the Offer commences on 5 June 2025 and ends on 11 July (the acceptance period might be extended). Assuming that the Offer is declared unconditional on 14 July 2025, settlement is expected to begin on or around 17 July 2025.
