09:42 AM EDT, 04/20/2026 (MT Newswires) -- Jet.AI (JTAI) said Monday the company and flyExclusive (FLYX) have agreed to extend the outside date of their merger agreement to June 30, with the deal expected to close in Q2.

"The [US Securities and Exchange Commission] review process included comments related to flyExclusive's disclosures for the 2023 period. The comments were addressed and fully resolved. With that progress, we are moving forward toward closing,"said Jet.AI Executive Chairman Mike Winston.

FlyExclusive refiled a Form S-4 linked to the transaction on April 14, Jet.AI said, adding that once the Form S-4 registration statement is declared effective by the SEC, the proxy statement is expected to be sent to shareholders shortly after.

Mailing of the proxy statement is expected to start a shareholder solicitation period of about 30 days, after which the companies expect to proceed to closing, the company said.

Jet.AI shares were up 9% in Monday trading, and flyExclusive rose 1%.
