The Shareholders’ Nomination Board of Framery Group Plc presents the following proposals to the Annual General Meeting planned to be held on April 27, 2026:
Number of members of the Board of Directors
The Nomination Board proposes that the number of members of the Board of Directors shall be six.
Proposals for members of the Board of Directors
The Nomination Board proposes that the current members of the Board of Directors, Mika Sutinen, Timo Toikkanen, Gregory Bylsma, Ville Koskenvuo, and Pipsa Loimijoki be re-elected for a term beginning at the close of the Annual General Meeting and ending at the close of the next Annual General Meeting.
In addition, the Nomination Board proposes that Susan Repo be elected as a new member of the Board of Directors.
Susan Repo, b. 1967, is an experienced international board professional and corporate executive with an exceptionally strong background in leadership roles within global technology and growth companies in Silicon Valley and Europe.
Ms. Repo previously served as the Chief Financial Officer (CFO) of the Finnish space technology company ICEYE, where she played a key role in the company's international scaling. Prior to her career at ICEYE, Ms. Repo held CEO and Chief Operating Officer roles at private companies in Silicon Valley and served as Corporate Treasurer and VP of Finance at Tesla and CFO of Tesla Financial Services, responsible for the company’s global financial strategy and global business and operational expansion during its period of most intensive growth.
Currently, Ms. Repo serves on the board of Nasdaq-listed company Mitek Systems as well as on the board of General Motors Financial Bank, among others. She has also previously served as Audit Chair and member of the Board of Directors of Matterport, which was listed on the Nasdaq at the time. Most recently, Ms. Repo served as Audit Chair and member of the Board of Directors of Fiskars Corp. Repo holds a Juris Doctor (JD) degree and a business degree in finance.
The Nomination Board recommends that the Board of Directors would elect Mika Sutinen as its Chair and Ville Koskenvuo as its Deputy Chair.
All proposed persons have given their consent to the appointment. All proposed members are independent of the company and its major shareholders, with the exception of the representatives of Vaaka Partners Oy, Ville Koskenvuo and Pipsa Loimijoki, who are not independent of the company’s major shareholder.
The Shareholders’ Nomination Board has considered the composition of the Board of Directors in terms of its overall structure, as well as the individual members’ versatile and mutually complementary professional expertise and experience. The Shareholders’ Nomination Board therefore recommends that the Board of Directors be elected as a whole.
Remuneration of the members of the Board of Directors
The Nomination Board proposes that the remuneration for the members of the Board of Directors remains at the level effective since December 1, 2025. The remuneration is proposed as follows:
The fees are paid semi-annually. The board fees for December 2025 have been paid by Framery Group Plc.

In addition, Mika Sutinen, Chair of the Board of Directors of Framery Group Plc, serves as an expert member of the Nomination Board.
